PARTICIPATION AGREEMENT - MEZE ATELIER

The Competition is conducted based on the principles of fairness, impartiality, and transparency to identify high-quality design works worldwide. The following terms and conditions apply.

The Organiser of Meze Atelier (hereinafter referred to as the “Contest”) is Meze Audio:

MEZE AUDIO S.R.L., headquartered in Baia Mare, Morii Street, No. 1-3, Registered in the Trade Register under No. J24/785/2013, Unique Registration Code No. 32229151, Fiscal Attribute: RO, IBAN Code (account): RO41BUCU1041304238340RON, opened at Alpha Bank, represented by Mircea Fanatan - Administrator (hereinafter referred to as the “Organiser”).

Before participating, the Participant (“you”) must confirm that you have read and understood the Privacy Notice and this Participation Agreement and agree to comply with all applicable rules.

I. DEFINITIONS

1. Organiser - Meze Audio

2. Competition – The design workshop series “Meze Atelier”, aimed at discovering and promoting outstanding design talent and identifying creative works.

The prizes consist of Meze Audio products valued at up to $10,000.

Winning entries remain the intellectual property of their authors, while participants grant the Organiser and its Affiliates an irrevocable, royalty-free, worldwide license.

Participant / You – Any individual who submits an Entry.

Entry – Any design or artwork submitted to the Competition.

Submission Period – The period specified on the briefing document during which entries may be submitted.

II. ELIGIBILITY

1. You must be of legal age in your jurisdiction and legally capable of entering into a binding agreement.

2. Your Entry must be:

  • Original and unpublished
  • Free of third-party rights or restrictions
  • Your own intellectual creation (as defined by EU copyright law)

3. The Organiser may disqualify any Entry that:

  • Lacks originality or is substantially similar to existing copyrighted works
  • Is copied, derivative, or insufficiently transformative
  • Infringes third-party rights (copyright, trademark, portrait rights, etc.)
  • Contains illegal, defamatory, hateful, obscene, or harmful content
  • Promotes violence, discrimination, illegal activity, or offensive material
  • Does not meet technical or submission requirements

III. COMPETITION RULES 

1. Entries must be submitted before the deadline and in the required format. Late or non-compliant submissions will be disqualified.

2. The Organiser may request editable source files (e.g., PSD, AI) for judging purposes only. These files will not be used commercially under this Agreement.

3. The Organiser will invite internationally recognised design experts to serve as judges.

4. Entries are evaluated based on:

(1) Aesthetics – visual impact and harmonious composition.
    (2) Technological expression – integration of technology and art.
    (3) Creativity – originality and ingenuity.
    (4) Applicability – relevance for Meze Audio products, accessories,
    (5) Communication power – cultural and emotional expression.

 

IV. INTELLECTUAL PROPERTY RIGHTS

1. Your Warranties:
    • You are the original creator and sole copyright holder
    • The work has not been plagiarised or commercially licensed to others
    • The Entry does not infringe third-party rights
If these warranties are breached:
    • You are fully responsible for any legal disputes. You must return prizes and compensate the Organiser for damages

2. License Granted:
By submitting an Entry, you grant the Organiser and its Affiliates a transferable, sublicensable, perpetual, royalty-free, worldwide license to:

    a. Reproduce, display, publish, and promote the Entry for Competition-related purposes (online/offline, social media, exhibitions, catalogues, archives, etc.).
    b. Create and sell commercial products incorporating the Entry (e.g., phone cases, apparel, wallpapers, themes, watch faces).
    c. Use the Entry in global marketing and advertising campaigns.
    d. Transfer or sublicense these rights to third parties.
    e. After the license period ends, previously published materials do not need to be removed.
    f. The Organiser is not obligated to use the Entry.

Attribution: Your name will be credited where reasonably possible. Your moral rights remain unaffected.

V. PARTICIPANT RESPONSIBILITIES

1. You must retain and provide source files or proof of ownership if requested.

2. You must provide accurate personal information. Incorrect data may result in disqualification and loss of prizes.

VI. PRIZES

The prizes consist of Meze Audio products, total valued at up to $5,000.

Winning products will be shipped to you from the Organiser's headquarters.

VII. ADDITIONAL TERMS

1. Participation is free of charge. Only electronic submissions are accepted. The Organiser is not responsible for failed submissions due to participant errors.

2. Prizes will generally be distributed within 30 working days after the Competition ends. Participants must provide valid contact details.

3. If the Competition must be suspended or terminated due to technical, security, or business reasons, the Organiser will make reasonable efforts to notify participants.

4. If this Agreement is modified in a way that significantly affects your rights or obligations, you will be notified. Continued participation constitutes acceptance of the changes.

5. This Agreement does not create any partnership or agency relationship.

6. The Organiser is not liable for failures caused by circumstances beyond its reasonable control and may assign or subcontract its rights and obligations.
